Trading Name vs Legal Name For Limited Companies

Business name

Choosing the right name for your business is one of the first big decisions you’ll make as a business owner. However, as your business grows or pivots, you might find that the legal name you registered at Companies House doesn’t quite fit the brand you want to present to the world anymore. This is where the distinction between a “legal name” and a “trading name” becomes vital.

In this blog, we’ll explain the differences between the two, whether they can be the same, and the rules you must follow if you decide to trade under a different name.

What is a Company Name?

Your company name (or legal name) is the official name registered with Companies House. This is the name that appears on your certificate of incorporation and is used for all formal and legal purposes.

This name must end in ‘Limited’ or ‘Ltd’ (unless you are a charity or meet specific exemptions). It is the name used by HMRC, for your business bank account, and on all legal contracts. Because it is a legal identifier, no two companies can have the same registered name.

What is a Trading Name?

A trading name is the “business name” or “brand name” that you use for your day-to-day operations. It’s what customers see on your storefront, your website, and your social media profiles.

Many businesses use a trading name because it’s catchier, more descriptive, or easier to market than their formal registered name. For example, a company registered as “ABC Services Ltd” might use the trading name “Sparkle Cleaners” for their branding.

Is a Trading Name the Same as a Company Name?

Not necessarily. While they can be the same, they serve different purposes:

➡️ The Company Name is your legal identity for tax and law.

➡️ The Trading Name is your commercial identity for marketing and customers.

The main difference is that a trading name does not need to be registered at Companies House, and it should not include “Ltd” or “Limited” at the end. It’s also important to note that a trading name doesn’t provide the same “name protection” as a registered company name, someone else could potentially use a similar trading name unless you have trademarked it.

You are not required to have a legal name and a trading name; you can just operate under your legal name.

Can I Trade Under a Different Name Than the Company Name at Companies House?

Yes, you can! Many limited companies trade under a different name. However, there are a few rules you must follow to stay compliant:

✅ Avoid Sensitive Words – You cannot use “sensitive” words (like ‘British’ or ‘Royal’) or offensive terms without specific permission.

✅ Display Requirements – Even if you use a trading name, you must display your registered company name on all business stationery, including invoices, receipts, and your website. Usually, this is done in the footer with a line like: “Sparkle Cleaners is a trading name of ABC Services Ltd.”

✅ Bank Accounts – Most banks require you to use your legal registered name for the account, though you can often add your trading name as a “T/A” (Trading As) designation so you can accept cheques or transfers made out to either name.

✅ Copyright & Trademarks – Before you start using a trading name, you must ensure you aren’t infringing on anyone else’s trademark.

Navigating the legalities of business naming is just one part of running a successful limited company. Ensuring your paperwork, invoices, and registrations are all aligned is key to building a professional brand that stays on the right side of the law.
